As part of our general business and corporate practice, the firm advises clients in a variety of corporate and securities-related transactions, including financings; initial public offerings; public offerings, periodic reporting, and SEC compliance matters for publicly held companies; mergers, acquisitions, strategic alliances, and joint venture transactions; regulation of broker-dealers, investment advisors, and mutual funds; and partnership and other syndication-type transactions.
Counsel to Publicly-Held and Emerging Growth Companies
We have extensive experience in mergers and acquisitions, financings, periodic reporting with the SEC, tender offers and takeover attempts, and other extraordinary corporate transactions involving public companies. Our lawyers provide advice to management and in-house counsel of publicly held companies regarding a wide variety of routine corporate matters. Our public clients include companies in the software, hardware, electronics, biotechnology, utilities, forest products, mining, retail, and restaurant industries.
We also have extensive experience in advising parties involved in financing emerging businesses. We regularly represent start-up and emerging companies (including high-technology firms), securities underwriters, and venture capital and other investors. The firm provides advice regarding types of financings, including venture capital financing, private placements, and initial public offerings.
As company counsel, our lawyers provide legal advice regarding all aspects of the transaction, including the structure of the transaction and the procedures necessary to comply with federal and state securities laws. We participate in the drafting of prospectuses and other disclosure documents necessary for financings, negotiate with investors or underwriters, and advise regarding securities law compliance.
Underwriters' Counsel
We represent underwriters in connection with public and private securities offerings. Representation in this capacity includes drafting and negotiating underwriting agreements, assisting in the preparation of prospectuses and offering documents and handling filings with the National Association of Securities Dealers and state securities administrators.
Counsel to Venture Capital and Other Investors
Our lawyers regularly represent venture capital and other investors, including small-business investment companies. As counsel to an investor, our legal services include negotiating with the company whose securities are being purchased and preparing stock purchase and related agreements.
Partnerships and Joint Ventures
We represent investors and active members in all aspects of planning, forming and managing joint ventures, limited and general partnerships, limited liability companies and consortia. Our services include advice on tax consequences, drafting and negotiating agreements, and assisting in dispute resolution and liquidation.

We provide legal advice to investment advisors, broker-dealers and other money managers regarding registrations with the SEC and ongoing operations. We represent a complex of mutual funds.
Labor & Employment
For more than half a century, Stoel Rives' labor and employment attorneys have been providing counseling and litigation services across the full spectrum of labor, employment, employee benefits and workers' compensation law. Today, Stoel Rives has almost 50 attorneys specializing in labor, employment and employee benefits law. Our labor and employment attorneys work closely with clients throughout the Northwest and Intermountain West to prevent liability and litigation by providing practical, preventative counseling on labor and employment issues. When litigation does arise, we provide our clients with a vigorous, thorough, well-reasoned defense that is aimed at achieving the best possible result.
Advising and Counseling
We advise employers in all areas of day-to-day personnel practices and employee relations matters, including discrimination and harassment issues, union matters, layoffs and plant closures, disability and religious accommodation issues, interpreting and applying employment policies and legal requirements for specific personnel decisions, conducting and supervising internal investigations, counseling on appropriate actions to minimize risk of liability, coordinating workers' compensation issues with state and federal disability laws, and negotiating and preparing employment contracts and separation agreements. We also work closely with our intellectual property attorneys on preparing and enforcing non-disclosure, trade secret, non-solicitation, and non-compete agreements.
Employment Litigation
We provide a vigorous, thorough, well-reasoned defense to employers in wrongful discharge, harassment, discrimination, contract, tort and all other employment-related claims, in federal and state trial and appellate courts. Our attorneys have extensive, specialized employment litigation experience that enhances our ability to get the best result.
Labor-Management Relations
We represent both private and public sectors employers in unfair labor practice proceedings and representation hearings. We also work with employers on union election campaign planning and in the negotiation and execution of collective bargaining agreements, contract administration, arbitrations, and planning for maintaining or regaining nonunion status.
Employment Policies and Handbooks
We prepare and review employment policies and employee handbooks for employers of all sizes. Services range from review of particular policies prepared by clients to complete preparation of employee handbooks tailored to the needs of individual employers.
Management Training
We provide training programs in all areas of employment law that are designed to impart knowledge and skills necessary for managers and supervisors to avoid making mistakes that could result in employment law liability. Our training includes programs on performance management and termination, performance appraisal and evaluation, workplace harassment and discrimination, managing leaves of absence and attendance, non-discriminatory employment practices, and interviewing and hiring. We can provide attorney trainers to conduct training in both English and Spanish.
Employment Discrimination
We work with our clients to develop policies and practices to prevent employment discrimination and harassment and to strengthen our clients' defenses to employment discrimination and harassment claims.
Employee Benefits and ERISA Litigation
We work closely with our specialized employee benefits attorneys to develop and manage employee benefit plans. We also have a very active and expanding ERISA litigation practice.
Workers' Compensation
We represent employers who are insured through private carriers, as well as employers who are self-insured under the workers' compensation laws, in connection with hearings and appeals resulting from work-related injuries and occupational diseases.
Wage and Hour Matters
We provide day-to-day advice, policy reviews and other services related to wage and hour issues. We also defend claims arising under the Fair Labor Standards Act, Davis Bacon Act, Walsh-Healey Act, Service Contract Act and other federal and state wage and hour laws and regulations.
Unemployment Benefits
We represent employers in planning personnel actions to minimize unemployment taxes and assessments and in defending claims for benefits in administrative proceedings and court appeals.
OSHA
We counsel employers about preventive practices and contesting safety citations and penalties, and represent businesses in administrative and judicial proceedings.
